Terms of Service

This document is a template pending legal review. It reflects how Nexacare actually operates, but it has not yet been reviewed by counsel and does not constitute legal advice.

These terms govern the use of Nexacare by clinics and their staff. By creating a clinic or accepting an invitation, you agree to them on behalf of your clinic.

1. The service

Nexacare provides clinic management software — appointments and queue, patient records, prescriptions, messaging, and billing — as a cloud service, with a self-hosted option under a separate agreement.

2. Accounts

Accounts are created by a clinic owner or by invitation. You are responsible for keeping credentials confidential, for the accuracy of what you enter, and for deactivating staff who leave the clinic.

3. The clinic's responsibilities

The clinic remains the data controller of its patient data: it is responsible for the lawful basis of care, for obtaining the patient consents required by the Personal Data Protection Law No. 151 of 2020 (including consent for reminder messages), and for managing which staff have access.

4. Not medical advice

Nexacare is practice-management software, not a medical device and not a source of clinical advice. All clinical decisions, prescriptions, and patient communications are made by the clinic's licensed professionals.

5. Your data stays yours

Clinic data belongs to the clinic. A complete export of the clinic's data is available to the clinic owner at any time and is never conditioned on payment.

6. Availability and support

During early access we aim for high availability but do not yet commit to a formal SLA. We maintain monitored infrastructure, encrypted off-provider backups, and tested restore procedures, and we provide support through the channel agreed with your clinic.

7. Fees and payment

Fees are agreed with the clinic in writing (founding-clinic terms during early access). Payment is collected through the agreed channel (e.g. bank transfer or InstaPay). If an invoice remains unpaid after notice, we may suspend the clinic; its data — and the export — remain available.

8. Leaving Nexacare

The clinic may close its account at any time. Export remains available through closure, and clinic data is deleted within [30] days after closure as described in the Privacy Policy.

9. Acceptable use

Do not use Nexacare for unlawful purposes, attempt to access another clinic's data, probe or overload the service, or send messages to patients who have not consented.

10. Liability

To the extent permitted by law, Nexacare's liability for any claim arising from the service is limited to the fees paid by the clinic in the twelve months preceding the claim, and we are not liable for indirect or consequential damages. Nothing here limits liability that cannot be limited by law.

11. Governing law

These terms are governed by the laws of the Arab Republic of Egypt, and disputes are subject to the jurisdiction of the Egyptian courts.

12. Changes to these terms

We may update these terms; material changes will be announced to clinic owners by email or in the app before taking effect. Continued use after the effective date constitutes acceptance.
